These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer") and MYI Development Inc. ("MYI Development," "we," "us," or "our"), a company incorporated in Alberta, Canada. By accessing or using the Invoice+ or SmartShop platforms, or any associated services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Services.
MYI Development provides cloud-based software-as-a-service (SaaS) platforms, including Invoice+ (field operations management) and SmartShop (shop and inventory management), accessible via web browser and mobile application. The specific features available to you depend on the subscription plan you have purchased.
We reserve the right to modify, enhance, or discontinue any feature of the Services at any time. We will provide reasonable notice of material changes that may adversely affect your use of the Services.
To use the Services, you must register for an account by providing accurate and complete information. You are responsible for:
We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms or applicable law.
Access to the Services requires a paid subscription, except during any applicable free trial period. Subscription fees are billed monthly in advance unless an annual billing arrangement has been agreed upon in writing.
All fees are quoted and payable in Canadian dollars and are exclusive of applicable taxes (including GST/HST), which will be added to your invoice where required by law. You agree to pay all fees and applicable taxes associated with your subscription.
If payment is not received within ten (10) days of the due date, we reserve the right to suspend access to the Services until outstanding amounts are paid in full. We will provide written notice before suspending access.
Subscription fees are non-refundable except as expressly provided in these Terms or required by applicable law. You may cancel your subscription at any time; cancellation will take effect at the end of the current billing period, and you will retain access to the Services until that date.
We reserve the right to adjust subscription pricing with at least thirty (30) days' written notice to existing customers. Price changes will take effect at the start of your next billing cycle following the notice period.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
The Invoice+ and SmartShop platforms, including all software, source code, algorithms, user interface designs, graphics, and documentation, are the exclusive intellectual property of MYI Development Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business operations during the term of your subscription. No rights are granted beyond those expressly set out in these Terms.
All operational data you enter into the Services — including work orders, field tickets, client information, personnel records, and financial data — remains your property. We process this data solely to provide the Services and have no right to use it for any other purpose.
We will maintain reasonable administrative, technical, and physical safeguards to protect your data. In the event of a data breach affecting your information, we will notify you as required by applicable law.
Upon termination of your subscription, you may request an export of your data in a standard format within 30 days of termination. After that period, we may permanently delete your data from our systems in accordance with our data retention practices.
Each party acknowledges that it may have access to confidential information of the other party. Both parties agree to: (a) hold the other party's confidential information in strict confidence; (b) not disclose confidential information to any third party without prior written consent; and (c) use confidential information only to the extent necessary to fulfill obligations under these Terms.
To the maximum extent permitted by applicable law, MYI Development's total cumulative liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the total subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall MYI Development be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, even if MYI Development has been advised of the possibility of such damages.
Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable Canadian law.
The Services are provided "as is" and "as available." To the maximum extent permitted by applicable law, MYI Development makes no warranties, express or implied, regarding the Services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. We will, however, make commercially reasonable efforts to maintain the availability and performance of the Services.
Either party may terminate a subscription at any time. You may cancel through your account settings or by contacting us at info@myinvoice.ca. Termination by you will take effect at the end of the current billing period.
We may terminate or suspend your access immediately and without prior notice if: (a) you materially breach these Terms and fail to cure the breach within seven (7) days of written notice; (b) you fail to pay subscription fees after ten (10) days' notice; or (c) we are required to do so by applicable law.
Upon termination for any reason, your right to access the Services ceases immediately (subject to any remaining paid period in the case of customer-initiated cancellation).
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of the Province of Alberta.
We may update these Terms from time to time. When we make material changes, we will notify you by email at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
If you do not agree with revised Terms, you may terminate your subscription before the effective date of the changes without penalty for the unexpired portion of your then-current billing period.
